
Constitution
Article I
Name: The name of this Organization shall be SAN ANGELO A&M UNIVERSITY MOTHERS' CLUB.
Article II
Object:
(a) By individual and united efforts to contribute in every way possible to the comfort and welfare of the students and to cooperate with Faculty in maintaining a high standard of moral conduct and intellectual attainment at all times at the University.
(b) To cooperate with the State Board of the A&M University Mothers' Club.
(c) Said organization is organized exclusively for education purposes, including for such purposes the making of distributions to organizations under Section 501(c)(3) of the Internal Revenue Code of 1954, or the corresponding provision of any future United States Internal Revenue Law.
(1) The Organization will distribute its income for each tax year at such time and in such manner so that it will not become subject to the tax on undistributed income imposed by the Section 4942 of the Internal Revenue Code of 1954, or corresponding provisions of any later federal tax laws.
(2) The Organization will not engage in any act of self-dealing as defined in Section 4941(d) of the Internal Revenue Code of 1954, or corresponding provisions of any later federal tax laws.
(3) The Organization will not retain any excess business holdings as defined in Section 4943(c) of the Internal Revenue Code of 1954, or corresponding provisions of any later federal tax laws.
(4) The Organization will not make any investments in a manner that would subject it to tax under Section 4944 of the Internal Revenue Code of 1954, or corresponding provisions of any later federal tax laws.
(5) The Organization will not make any taxable expenditures as defined in Section 4945(d) of the Internal Revenue Code of 1954, or corresponding provisions of any later federal tax laws.
Article III
Section 1: Membership shall be composed of active and associate members to be designated as follows:
(a) An active member shall be described as a mother, stepmother, or guardian of a student or former student.
(b) An associate member shall be described as anyone else. Associate members shall be assessed the same dues and rights of active members except for serving as President due to the fact that they cannot be a voting delegate to Federation meetings.
Section 2: Life membership shall be available to those who have held active membership in the San Angelo A&M University Mothers' Club for at least five (5) years.
Article IV
Officers shall be a President, four Vice-Presidents, Vice-President at Large, a Secretary, a Treasurer, a Parliamentarian, a Historian, and an Auditor.
Article V
Section 1: Election
The Officers of this Club shall be elected at the general meeting in March of each year and shall assume duties of office as of June 1 of each year.
Section 2: Nominations
Nomination of officers shall be by a nominating committee, composed of three active members of the Club, appointed by the President. Additional nominations may be made by the floor.
Section 3: Voting
A majority of all votes cast shall be necessary to constitute an election.
Article VI
Voting: The right to vote shall be vested in Officers and active members in good standing, with dues paid.
Article VII
Amendments: This constitution may be amended at any regular meeting by two-thirds vote of the members present, provided notice of the proposed amendment or amendments is filed with the secretary and read in open meeting at a previous meeting.
Article VIII
By-laws on Standing Rules may be amended by a majority vote at any regular meeting.
Article IX
All Standing Committees shall be composed of sufficient membership to function efficiently.
Article X
Upon the dissolution of the Organization, the Executive Board shall, after or making provision for payment of all of the liability of the Organization, dispose of all the assets of the Organization, exclusively for the purposes of the Organization in such manner, or to such organization or organizations organized and operated exclusively for charitable and/or educational purposes as shall at the time qualify as an exempt organization under Section 501(c)(3) of the Internal Revenue Code of 1954 (or corresponding provision of any future United States Internal Revenue Law), as the Executive Board shall determine. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the Organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

By-Laws
Article I
Section 1: It shall be the duty of the President to preside at all meetings, appoint the necessary committees, perform such other duties as pertain to the office. She shall be ex-officio member of all committees, except the Nominating Committee, without the right to vote.
Section 2: The Vice-President at large shall hold this office after serving as President. She shall be an adviser to the current President. She shall be interim officer for any office open due to a resignation or death occurring on the Executive Board until said office is filled in accordance with Article II. Should she be unable to preside in the absence of the President, the Vice-Presidents, in their respective orders, will conduct the meeting.
Section 3: The First Vice-President shall be in charge of Programs and Activities including monthly meeting arrangements. She shall also be in charge of publicity for these events.
Section 4: The Second Vice-President shall be in charge of Membership. She shall contact all prospective members and strive to increase the enrollment of the Club; she shall welcome and introduce all new members and keep an accurate roll of all members to be reported to the Treasurer and Third Vice-President.
Section 5: The Third Vice-President shall be in charge of all Club Publications including the Yearbook. The Yearbook shall be completed and ready for distribution at the October meeting each year.
Section 6: The Fourth Vice-President shall be in charge of all Fund-Raising activities, including coordinating schedules, publicity, preparation and follow-up. It shall be her duty to record all expenditures, requests for reimbursements, and monies received and to give this information to the Treasurer for dispensation. Any and all suggestions for fund-raising shall be directed to her, and presented by her at executive and general meetings for discussion and voting if necessary. It will be her duty to work closely with the Treasurer to insure all monies are accounted for and all expenses are paid.
Section 7: The Vice-President at Large shall hold this office after serving as president. She shall be an advisor to the current president.
Section 8: The Secretary shall keep the minutes of all membership and executive meetings. She shall have charge of records and correspondence for the Club.
Section 9: The Treasurer shall receive all money. She shall pay out money upon order of the Club and shall report each expenditure monthly. She will be responsible for the preparation of the budget and present it for approval at the general meeting in September of each year. She shall be responsible for the outgoing President's gift.
Section 10: The Parliamentarian shall be responsible for monitoring all meetings. It will be her duty to be familiar with the Club’s Constitution and Bylaws and Robert’s Rules of Order to enable her to address any parliamentary questions that may come before the group. The Club’s constitution and Bylaws will be the club’s first source for all rulings, followed by Robert’s Rules of Order. She shall compile a summary report of all the year’s Constitution and Bylaw changes and forward it to the Third Vice President for inclusion in the next year’s yearbook and to the Secretary for inclusion in the minutes.
Section 11: The Historian shall keep a record of the activities of the. She shall be in charge of publicity after occurrence of events. She shall prepare a scrapbook for the year which should be finished by the following September. It shall also be her duty to forward all historical information to the A&M University archives in the Cushing Library.
Section 12: The Auditor shall examine the books of the Secretary, Treasurer, and the Scholarship Committee. She will prepare an annual report which will be submitted to the Executive Board at the September Executive Meeting. Copies of said report shall be given to each of the “above mentioned” officers and the Scholarship Chairperson as well as the President. The original report shall be kept in the Auditor’s master file.
Article II
In case of vacancy of an office or chair, the position shall be temporarily filled by the Vice-President at Large or a member of the Executive Board until ratification by the membership at the next regular Club meeting.
Article III
Section 1: Ten active members shall constitute a quorum at a regular meeting.
Section 2: Regular meetings of the Club shall be held at a time and place designated by the Executive Board. A schedule of meetings specifying meeting time and place will be published in the yearbook.
Section 3: Special meetings may be called at the discretion of the President or five active members of the Club. The call must state the business to be transacted and no business shall be transacted except that in the call.
Section 4: The Executive Board shall be composed of the officers of the Club and the Chairperson of the Scholarship. A majority shall constitute a quorum. The Board shall have power to act on any question of the moment needing immediate action at any time between regular meetings. The Executive Board meeting shall be at the discretion of the President.
Article IV
Section 1: Dues for active members shall be $20 per year, of which $15 per year will be used for operating expenses of the Club, $5 per year will be placed in the Scholarship fund.
Section 2: A Life Membership shall be $75. Money received from Life Memberships shall be disbursed to the Scholarship Fund and the General Fund in the following Manner: 2/3’s to the Scholarship Fund; 1/3 to the General Fund. Yearbooks will be available for a nominal fee plus postage.
Section 3: Any member not paying dues by the first meeting in September shall be automatically dropped from the roll.
Section 4: Any member may be reinstated upon payment of dues.
Section 5: All dues are payable to the Treasurer.
Article V
Duties of Standing Committees:
Section 1: The Telephone Committee shall make any necessary telephone contacts concerning Club activities.
Section 2: The Scholarship Committee shall be responsible for the selection of any scholarship given by the San Angelo A&M University Mother's Club.
- An annual scholarship to be known as the San Angelo A&M University Mothers' Club Memorial Scholarship will be given in the amount of $1,000 to an upper class student or a graduate student who has completed at least two semesters at Texas A&M University and is from the Federation designated area assigned to this Club. If budgeted by the club, the Scholarship Committee may give more than one scholarship.
Section 3: The Federation delegates shall be active members, who are able to attend the Federation meetings, and who are approved by the San Angelo A&M University Mothers’ Club Executive Board.
Article VI
Standing Committees shall make reports to the Club as activities warrant.
Article VII
The Order of Business as given in "Robert's Revised Rules of Order" shall be followed when not in conflict with this Constitution and these Bylaws.
Standing Rules:
There shall be a Sunshine Fund to which members may contribute on a voluntary basis through the year. This Fund shall be for the purpose of buying cards for members and students at times of illness and/or bereavement. The chairperson of this fund will also be responsible for any yearly mailings to students as decided by the club members.
Memorials for deceased members in the amount of $10 shall be given to the Scholarship Fund.
The Yearbook Chairman shall send a current yearbook to the President of the State Federation of A&M University Mothers' Club, and a yearbook to the President of Program Chairman of the San Angelo A&M Club. A member who wants the yearbook mailed is to contact the Yearbook Chairman and make arrangements to have it mailed, at the members expense.
